BUSINESS DOCUMENT REVISION AGREEMENT

RECITALS

WHEREAS, Party A (legal name): and Party B (legal name): are parties to a written agreement titled dated (the "Original Agreement").

WHEREAS, the parties desire to amend and revise certain provisions of the Original Agreement as set forth herein to reflect mutually agreed changes in scope, compensation, and duration, and to memorialize the revised understanding of the parties effective as of (the "Effective Date").

WHEREAS, except as expressly modified by this Business Document Revision Agreement (the "Revision Agreement"), the Original Agreement remains in full force and effect and is hereby incorporated by reference.

SCOPE OF WORK

PAYMENT TERMS

As consideration for the revisions and any additional services described above, Party A shall pay Party B the amounts and according to the schedule set forth below. All payments shall be made in lawful currency and in accordance with the invoicing procedures of the Original Agreement, except as modified herein.

If any payment is not received within days after the due date, a late fee of of the overdue amount per month, or a flat fee of (whichever is greater), shall accrue until payment is made in full.

TERM AND TERMINATION

This Revision Agreement shall commence on the Effective Date specified above and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Revision Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, each party shall return or destroy confidential materials of the other party and shall pay any amounts then due and owing for services performed prior to the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other in connection with the Original Agreement and this Revision Agreement, whether oral, written, graphic or electronic. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely for the purposes of performing under the Original Agreement as amended by this Revision Agreement, and (c) restrict disclosure to those employees, agents or contractors who have a need to know and who are bound by obligations of confidentiality at least as protective as those set forth herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully in the receiving party's possession without confidentiality obligations prior to disclosure; or (iii) is independently developed without use of the disclosing party's Confidential Information. The obligations in this section shall survive termination of this Revision Agreement for a period of years.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate power and authority to enter into this Revision Agreement, that execution and delivery have been duly authorized, and that the obligations herein do not conflict with any other agreement or legal obligation to which it is a party.

GOVERNING LAW

This Revision Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Revision Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Revision Agreement, together with the Original Agreement as amended hereby, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Except as expressly provided herein, no modification, waiver, or amendment of any provision of the Original Agreement shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

Any provision of this Revision Agreement found to be invalid or unenforceable shall be ineffective to the extent of such invalidity only, without affecting the remaining provisions. The rights and obligations under this Revision Agreement that by their nature survive termination shall survive.
