Proper completion ensures clarity of obligations and supports downstream compliance, retention, and dispute resolution processes.

Who typically prepares and signs this document

This document is used by a mix of operational, legal, and finance roles depending on the transaction size and risk profile.

  • Procurement and Operations teams handling vendor or supplier terms for routine purchases and services.
  • In-house Counsel or Contract Managers for contracts that require legal review or special risk allocation.
  • Finance and Accounts Payable for payment terms, invoicing details, and tax-related fields.

  • Leaving the party name as a DBA instead of the legal entity causes payment and tax mismatches.
  • Omitting the governing state or leaving it ambiguous can create forum and interpretation disputes.
  • Failing to confirm signer authority exposes the agreement to ratification risk or invalidation.
  • Using vague consideration language (e.g., 'reasonable efforts') without measurable terms leads to enforcement issues.

Legal and financial risks from incorrect completion

Tax Withholding: Missing or incorrect TINs can trigger backup withholding (24%)
Contract Voidance: Improper signature authority may render the contract unenforceable
Late Payment Costs: Failure to record payment terms may incur late interest or damages
Regulatory Noncompliance: Industry-specific lapses can prompt fines or corrective actions
Evidence Gaps: No audit trail weakens position in litigation or arbitration
Privacy Violations: Improper handling of health data can trigger HIPAA penalties
