Payment Terms

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period set forth above after written notice. Termination shall not relieve Client of obligations to pay for services performed and deliverables accepted prior to termination.

Confidentiality

Each party agrees that all non-public, confidential or proprietary information disclosed by one party to the other in connection with this Agreement (Confidential Information) shall be kept strictly confidential and used solely for the performance of the services described herein. Confidential Information does not include information that: (a) was publicly known at the time of disclosure; (b) becomes publicly known through no fault of the receiving party; (c) was in the receiving party's possession prior to disclosure; or (d) is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be resolved in the state or federal courts located within that state.

Miscellaneous Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets provided the assignee assumes all obligations hereunder in writing.

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Entire Agreement

This Agreement, including any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral, relating to such subject matter.

Severability: If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
