RECITALS

WHEREAS, Client seeks to engage Contractor to perform certain business, consulting, or technical services described herein; and

WHEREAS, Contractor represents that Contractor possesses the experience and capability to perform the services and deliverables identified in this Agreement in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth in writing their respective rights and obligations with respect to the services to be provided by Contractor to Client.

SCOPE OF WORK

Deliverables shall be subject to Client acceptance testing and approval. Unless otherwise expressly agreed in writing, Contractor shall provide all labor, materials, equipment and supervision required to perform the Scope of Work.

PAYMENT TERMS

Invoices shall be submitted by Contractor in accordance with the Payment Schedule. Client will pay undisputed invoices within days of receipt. Overdue amounts shall bear interest at the rate of % per month (or the maximum rate permitted by law, if lower) calculated daily from the due date until paid.

All payments are exclusive of taxes. Client shall be responsible for applicable sales, use, value-added and similar taxes, except taxes based on Contractor's income.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate for material breach if the breach is not cured within days after written notice. Termination shall not relieve Client of its obligation to pay for services rendered and expenses reasonably incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (iii) not disclose Confidential Information to any third party except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach by the Receiving Party; (b) is already lawfully known by the Receiving Party without restriction; (c) is independently developed by the Receiving Party; or (d) is rightfully received from a third party without duty of confidentiality. Upon termination of this Agreement, Receiving Party shall return or destroy Confidential Information as directed by Disclosing Party.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation. If negotiation fails, the parties agree that disputes shall be resolved by binding arbitration in accordance with the commercial arbitration rules mutually agreed at the time of dispute.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. Neither party shall assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice. Notices are effective upon personal delivery, electronic delivery with acknowledgment, or three days after deposit in the mail with certified postage.
