This General Business Agreement ("Agreement") is made effective as of , by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain business services as described in this Agreement and Service Provider is willing to provide such services under the terms and conditions set forth herein.

WHEREAS, the parties intend for this Agreement to set forth the full and complete understanding of the scope, compensation, confidentiality and other material terms governing the parties' business relationship.

WHEREAS, the parties desire to memorialize certain representations, warranties and obligations to avoid any future disputes.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services") in a timely and professional manner consistent with industry standards. The parties may amend the Scope of Work only by a written change order signed by both parties.

PAYMENT TERMS

Client shall pay Service Provider for the Services the total amount of USD, in accordance with the payment schedule set forth below. All fees are exclusive of applicable sales, use, value-added or other taxes, which shall be paid by Client.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate allowed by law, computed monthly, plus all costs of collection, including reasonable attorneys' fees. The parties may elect a fixed late fee in lieu of interest:

TERM AND TERMINATION

This Agreement shall commence on , and shall continue until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was in the receiving party's possession prior to disclosure by the disclosing party; (c) is lawfully received from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information only to perform its obligations under this Agreement, (ii) limit access to Confidential Information to employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein, and (iii) not disclose Confidential Information to any third party without prior written consent of the disclosing party. These obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its choice of law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that jurisdiction for resolution of disputes arising under this Agreement.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or to a successor in interest in connection with a merger, acquisition, or sale of substantially all of its assets.

Amendment and Waiver: No amendment or waiver of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties. No failure or delay in exercising any right shall constitute a waiver.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the parties relating thereto.
