Scope of Work

Late Payment: If any undisputed payment is not received within days of the due date, interest shall accrue at the rate of % per month (or the maximum permitted by law, if lower). In addition, Service Provider may suspend services for overdue invoices following ten (10) days' written notice.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means any non-public information disclosed by one party to the other, whether oral, written, electronic or otherwise, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely for the performance of this Agreement, and (c) not disclose Confidential Information to any third party except as expressly permitted herein or required by law. The receiving party shall implement reasonable safeguards to prevent unauthorized disclosure.

Duration: The obligations in this section shall survive termination of this Agreement for years; provided, however, that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

Indemnification and Liability

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct. Liability: Except for liability arising from breach of confidentiality, willful misconduct, or indemnification obligations, neither party's aggregate liability for all claims under this Agreement shall exceed the total fees actually paid by Company to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties submit to the exclusive venue of the courts located in that state for any dispute arising under this Agreement.

Entire Agreement

This Agreement, including all exhibits, attachments and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control to an affiliate who assumes the assigning party's obligations.
