Common preparation pitfalls to avoid

  • Using ambiguous scope language that creates differing expectations and increases dispute likelihood, especially for deliverables without objective acceptance criteria.
  • Failing to confirm signer authority before execution, which can render a contract voidable and require post-signature ratification or re-execution.
  • Omitting tax identifiers or incorrect payee details that trigger backup withholding or delay accounting reconciliation and vendor payments.
  • Neglecting to include termination and notice mechanics, resulting in operational confusion and missed cure opportunities before invoking remedies.

Consequences of incomplete or incorrect documentation

Invalid Signature: Contract unenforceable
Missed Deadline: Loss of rights or remedies
Incorrect Tax Info: Backup withholding may apply
Privacy Breach: Regulatory fines possible
I-9 Violation: Fines per DHS rules
Intentional Misstatement: Civil or criminal exposure
