What the Business Document SAM Document Is

The Business Document SAM Document is a standardized administrative form used to record contractual terms, approval decisions, and operational metadata for business transactions. It combines identification of parties, scope of work, effective dates, signatures, and routing instructions into a single record intended for internal control and external compliance. Organizations use this document to ensure consistent capture of key data, to support audit trails and retention policies, and to reduce rework when exchanging agreements with vendors, partners, or customers across different departments and systems.

Why this Document Matters for Operational Control

Using a standardized SAM Document reduces ambiguity, centralizes approvals, and supports consistent recordkeeping for audits and regulatory reviews. It helps ensure all required fields are captured and that signatures, dates, and governing law choices are documented for enforceability and retention.

Why this Document Matters for Operational Control

Who Typically Prepares and Signs a SAM Document

This document is used by people across finance, procurement, legal, and operations to record transactional approvals and obligations.

  • Procurement and Purchasing teams who need approvals for vendor engagements and purchase terms.
  • Finance and Accounts Payable for budget confirmation, payment terms, and tax reporting alignment.
  • Legal and Contract Managers for clause review, governing law selection, and signature authority verification.

Clear role delineation ensures proper authority, quicker processing, and better compliance with internal and external requirements.

Core Elements to Include in a Professional SAM Document

A complete SAM Document organizes essential contract data, identifies signers, and records process controls to make the record usable for audit, enforcement, and downstream workflows.

Parties

Full legal names and entity types for each party, including DBA names and employer identification numbers where applicable to avoid ambiguity and support tax reporting.

Scope

A concise description of goods or services, deliverables, and performance standards so obligations are measurable and enforceable if disputes arise.

Consideration

Monetary amounts, payment schedule, and invoicing mechanics. Specify currency and late payment terms to prevent misunderstanding.

Term

Effective and expiration dates plus renewal mechanics. Include termination rights and notice periods to control contract lifecycle events.

Signatures

Designated signatory blocks showing printed name, title, date, and signature type (wet, electronic, or notarized) with authentication method recorded.

Routing

Approval path, internal cost center, and storage location so workflow automation can route, archive, and surface the document for stakeholders.

Stepwise Procedure to Complete and Execute the SAM Document

Follow this ordered checklist to prepare, approve, sign, and store the SAM Document with minimal friction and maximum compliance.

  • 01
Prepare: Populate all required fields and attach supporting exhibits.
  • 02
Review: Legal and finance verify terms and payment details.
  • 03
Authorize: Routing for internal approval and signer authentication.
  • 04
Execute: Collect signatures and archive the completed file.

Recommended Digital Workflow Settings for eSubmission

Configure your electronic workflow to capture identity, route approvals, and retain a tamper-evident audit trail for each completed SAM Document.

Field Configuration
Routing Order Sequential or parallel routing based on approval hierarchy
Authentication Email link with optional SMS OTP or KBA for higher assurance
Reminders Auto-reminders at configurable intervals, e.g., 3 and 7 days
Storage Secure cloud storage with versioning and access controls

How Electronic Completion and Routing Typically Work

Electronic workflows streamline approvals by combining document delivery, signer authentication, and automated storage into a single process.

  • Upload: Sender uploads the SAM Document to the platform
  • Place Fields: Add signature, date, and data fields where required
  • Invite Signers: Email or link-based invitations sent to signers
  • Complete: Signers authenticate, sign, and receive the final record

Technical Requirements and Storage Considerations

Choose a platform that supports required authentication, secure storage, and an immutable audit trail for legal defensibility.

  • Authentication: Email, SMS, KBA options
  • File Formats: PDF, DOCX support
  • Integrations: CRM, ERP, cloud storage

1099-MISC Paper:

1099-MISC Electronic:

Electronic IRS filing deadline typically March 31
