This General Business Agreement (the "Agreement") is entered into effective as of by and between:

RECITALS

WHEREAS, Client Name: requires certain professional services as described below; and

WHEREAS, Service Provider Name: represents that it has the experience, personnel and resources necessary to perform those services in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall provide the services and deliverables described in detail below. The services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider the compensation set forth below in exchange for the services performed under this Agreement. All amounts are payable in United States dollars unless otherwise agreed in writing.

Late payment: Any undisputed amount not received within days of its due date shall accrue interest at the rate of % per month (pro rata) or the maximum rate permitted by law, whichever is lower. Client shall also be responsible for reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the other party with not less than written notice. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following written notice specifying the breach.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means all nonpublic information disclosed by one party to the other, whether written, oral, electronic, or otherwise, that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information from unauthorized use, disclosure, or access with at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable standard of care; and (c) not disclose Confidential Information to any third party except as required by law or with the disclosing party's prior written consent.

Confidential Information shall not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to receipt from the disclosing party; or (iii) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and exhibits hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, proposals and communications. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to a successor entity in connection with a merger or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.
