Confidentiality

Include non-disclosure obligations, permitted disclosures, duration of confidentiality, and remedies for breach. For regulated data, reference required privacy addenda or safeguards.

  • Leaving the effective date blank or using inconsistent date formats can trigger conflicting obligations and complicate renewal or statute-of-limitations calculations.
  • Failing to specify currency, invoicing frequency, or late fee mechanics often causes collection disputes and increases accounts receivable aging.
  • Not confirming signing authority for corporate signers may lead to claims the agreement was executed without proper authorization.
