This Business Document Sarabura (the "Agreement") is made effective as of between the parties set forth below.

PAYMENT TERMS

As consideration for the services rendered, Client shall pay Provider the fees and follow the billing schedule described below. All amounts are due in United States dollars unless otherwise agreed in writing.

Unpaid amounts not contested in good faith within fourteen (14) days of invoice are subject to the Late Fee described above and to collection costs, including reasonable attorneys' fees. Provider may suspend performance if undisputed amounts remain unpaid for more than thirty (30) days after invoice.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means nonpublic business, technical, financial and other information disclosed by one party to the other that is designated confidential or that a reasonable person would understand to be confidential under the circumstances. The receiving party shall: (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) restrict disclosure to employees, contractors or advisors who need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of months, except with respect to trade secrets, for which obligations shall survive for as long as such information remains a trade secret under applicable law. The obligations do not apply to information that (i) is or becomes publicly available through no fault of the receiving party, (ii) is rightfully received from a third party without breach of confidentiality, or (iii) is independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any action arising out of or relating to this Agreement shall be in the state or federal courts located within that state.

MISCELLANEOUS

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all its assets.

Indemnification: Each party agrees to indemnify and hold harmless the other party from and against claims, damages and liabilities arising from the indemnifying party's negligent acts or willful misconduct in connection with performance under this Agreement, provided that the indemnified party gives prompt written notice and reasonable cooperation in the defense of any claim.

Limitation of Liability: Except for liability arising from a party's willful misconduct, gross negligence, breach of confidentiality or violation of law, neither party shall be liable for indirect, consequential, incidental, punitive or special damages, and each party's aggregate liability under this Agreement shall not exceed the fees actually paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
