This General Business Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires certain professional services related to publishing, marketing, distribution and related business support in connection with Client's business (the "Services"); and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources necessary to perform the Services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform the Services and Client will compensate Service Provider.

Service Provider shall perform the Services and deliverables described below. Deliverables will conform to the specifications and timelines set forth in this Section unless otherwise agreed in writing.

3. PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the Services. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

4. TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon Written Notice of days to the other party. Either party may terminate immediately for material breach that is not cured within days after written notice of such breach.

Upon termination, Service Provider shall deliver all completed and in-process work and Client shall pay for Services performed and expenses incurred through the termination date in accordance with the Payment Terms.

5. CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other that is designated as confidential or that reasonable persons would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business plans, customer lists, pricing, trade secrets, manuscripts, and unpublished works.

The receiving party shall (a) use Confidential Information only to perform its obligations under this Agreement, (b) limit access to Confidential Information to employees and contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein, and (c) not disclose Confidential Information to any third party without the disclosing party's prior written consent, except as required by law subject to prior notice when permitted.

Confidentiality obligations shall survive termination for a period of years, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets.

6. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider hereby assigns to Client all right, title and interest in and to the Work Product created specifically for Client under this Agreement. "Work Product" means deliverables, writings, designs, graphics, software code, editorial content and other materials produced by Service Provider for Client pursuant to this Agreement.

Service Provider retains ownership of its pre-existing materials and tools ("Background IP"). To the extent any Background IP is incorporated into Work Product, Service Provider grants Client a nonexclusive, worldwide, royalty-free license to use such Background IP as incorporated in the Work Product for Client's internal business purposes.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from claims, liabilities and expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. The indemnified party shall promptly notify the indemnifying party of any claim and permit the indemnifying party to defend and control the resolution of the claim.

Except for obligations of indemnification or willful misconduct, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Service Provider in the six (6) months preceding the claim.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and written statements of work referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

10. MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that Client may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
