What Business Document SD02 is and when it applies

Business Document SD02 is a standardized business agreement form used to record operational commitments, parties, effective dates, and signature authority for commercial transactions. It combines identification details, scope of work or deliverables, compensation or consideration clauses, and signature blocks for authorized signers. The form is designed for use across industries where a concise written record is required and can be executed on paper or electronically. When signed electronically, the record should meet ESIGN and applicable state UETA or ESRA requirements to preserve enforceability.

Why the Business Document SD02 matters for organizations

Business Document SD02 creates a clear, auditable record of mutual commitments, timing, and signatory authority. It reduces ambiguity about obligations, supports compliance reviews, and helps establish timelines for performance and retention while enabling eSignature workflows that meet ESIGN and applicable state laws.

Why the Business Document SD02 matters for organizations

Typical teams and roles that complete SD02

SD02 is most often completed by operational, legal, and finance teams to document agreements, approvals, or internal authorizations.

  • Contract managers and procurement staff who negotiate terms and capture signature authority for vendor or supplier engagements.
  • Finance or accounts payable teams that need an executed agreement to process payments or vendor onboarding requirements.
  • Legal counsel or business operations for review, approval, and to confirm governing law and signature authority.

Use the checklist below to identify the primary responsible parties and ensure the form reaches an authorized signer.

Who can sign and who completes SD02

Authorized Signer — CEO

When the CEO signs, it indicates full corporate authority for strategic or high-value commitments; document review should confirm board or delegated authority where required and the signer’s title must match corporate records.

Authorized Agent — Operations Manager

An operations manager with delegated signing authority may sign for routine contracts; confirm delegation exists in an internal authorization schedule or power-of-attorney document before relying on the signature.

Consequences of an incorrect or incomplete SD02

Common preparation mistakes to avoid

  • Using informal or abbreviated party names that do not match legal records, which can delay verification and tax reporting.

Use the entity’s exact legal name
Confirm the corporate or individual name against formation documents or government ID to avoid mismatches that can invalidate signatures or trigger tax issues.
Standardize the effective date format
Require MM/DD/YYYY and implement field validation in digital forms to prevent ambiguous dates that complicate enforcement and retention start dates.
Require signer authority documentation
Attach a delegation letter, corporate resolution, or power of attorney when agents sign on behalf of an entity to prove authority during disputes.
Enable an audit trail for eSignatures
Capture signer IP, timestamps, authentication method, and a certificate of completion to support admissibility under ESIGN and state law.
