What the Business Document Series A3 DRIW Is

The Business Document Series A3 DRIW is a standardized corporate template used to capture discrete decision records, regulatory attestations, and workflow approvals for U.S. organizations. It consolidates party identification, transaction details, effective and expiration dates, authorization signatures, and optional witness or notary blocks into a single record. Firms use the A3 DRIW for internal authorizations, contract approvals, vendor onboarding, and compliance attestations while preserving an audit trail and metadata for retention, reporting, and regulatory review.

Why the A3 DRIW Is Useful for Governance and Compliance

Use the A3 DRIW to centralize approvals, document authorization history, and compliance evidence. The standardized layout reduces ambiguity, supports consistent retention practices, and creates a clear audit trail suitable for internal governance and regulatory review under U.S. standards.

Why the A3 DRIW Is Useful for Governance and Compliance

Common Users and Stakeholders

Common roles that prepare or complete the A3 DRIW include internal approvers, compliance officers, and contract administrators.

  • Corporate compliance teams and general counsel managing governance and regulatory filings
  • Procurement and vendor management staff for onboarding and contract authorization
  • Finance and accounting teams when approvals affect billing, tax, or audit records

The A3 DRIW also serves external signatories and auditors as an authoritative record when appended supporting documents are provided.

Typical Signatories and Their Roles

Chief Compliance Officer

The Chief Compliance Officer typically certifies that recorded information complies with applicable laws and internal policies. Their signature affirms review of regulatory disclosures, oversight of recordkeeping practices, and responsibility for retention schedules tied to HIPAA, IRS, or industry-specific rules.

Authorized Signer

An Authorized Signer is a named officer or agent with delegated authority to bind the company on transactions covered by the A3 DRIW. Their execution should match corporate records; mismatched signing authority can render approvals invalid for third-party reliance.

Core Elements Included in a Professional A3 DRIW

A complete A3 DRIW includes identification, clear authorizations, conditional logic, signature and notarization blocks, retention metadata, and an audit-ready trail to support internal controls and external review.

Party Details

Record full legal names, DBA entries, mailing addresses, and taxpayer identification numbers. Inaccurate party data causes vendor onboarding delays, tax reporting errors, and may invalidate third-party reliance on the document.

Transaction Data

Specify the subject matter, monetary amounts, deliverables, and milestones clearly. Use unambiguous language and attach exhibits for schedules or technical descriptions to avoid interpretive disputes.

Authority Clauses

Include a signed certification that the signer has authority to execute the document or attach a corporate resolution. Lack of documented authority is a frequent enforcement issue.

Signature Blocks

Provide full printed name, title, signature, and date for each signer. Where state law requires witnesses or notary acknowledgment include those fields and instructions.

Conditional Logic

Add conditional or formula fields to capture optional clauses, variable payment terms, or contingent obligations, reducing manual edits and ensuring that only relevant sections appear to the signer.

Audit Trail

Embed an audit log capturing timestamps, IP addresses, authentication method, and version history. Maintain an exportable certificate of completion for regulatory and internal audit purposes.
