What the Business Document SF312 Is and when it applies

The Business Document SF312 is the federal Classified Information Nondisclosure Agreement (SF-312) used to document an individual’s legal obligation to protect classified information. Agencies and contractors require a completed SF-312 before granting or continuing access to classified materials; it defines disclosure limits, handling responsibilities, and the penalties for unauthorized disclosure. The form establishes the signer’s continuing duty to safeguard classified information and to report security concerns, and it often accompanies clearance adjudication and access control procedures within executive branch agencies.

Why completing the SF312 correctly matters

Completing the Business Document SF312 accurately records your legal nondisclosure obligations, supports security clearances, and documents consent to agency handling rules.

Why completing the SF312 correctly matters

Who commonly completes the SF312 and why

The SF-312 is completed by federal employees, contractors, and certain cleared affiliates when they require access to classified information.

  • Federal employees: Required when clearance or access is granted.
  • Contractors and subcontractors: Signed before classified work begins.
  • Support personnel and consultants: Signed when role requires exposure to classified material.

Organizations that handle classified material include federal agencies, defense contractors, and third-party vendors who perform sensitive functions under contract.

Core elements you’ll find on the SF312

The SF-312 focuses on clear signatory obligations, non-disclosure commitments, reporting duties, and the duration of the obligations; it’s concise but legally binding for covered individuals.

Signatory identification

Full legal name, employer or agency, job title, and identifying information that ties the signer to access records and clearance files.

Non-disclosure clause

Explicit statement that classified information cannot be disclosed except as authorized and that violations may lead to administrative or criminal penalties.

Scope of obligation

Defines the types of information covered, whether access is continuous, and limitations tied to classification levels and handling instructions.

Reporting duties

Requires prompt reporting of security incidents, suspected unauthorized disclosures, and changes in personal circumstances that could affect clearance.

Duration and survival

Clarifies that nondisclosure obligations often survive employment and remain in force for as long as information remains classified.

Authority and penalties

References to applicable agency regulations and potential consequences, including clearance revocation, administrative action, or criminal prosecution.

Practical tips for accurate and efficient SF312 completion

Follow these best practices to reduce processing errors, maintain compliance, and support timely access decisions.

Verify identity before completing
Confirm the signer’s government-issued identity documents and match the full legal name on the SF-312 exactly to clearance and payroll records; inconsistencies cause delays and additional verification steps with security offices.
Follow sponsoring office instructions
Use the routing and storage process specified by the sponsoring security office. Confirm whether the agency accepts electronic signatures, requires notarization, or expects a paper original to minimize rework and ensure proper retention.
Capture an unalterable audit trail
When using electronic signing, record signer identity, timestamp, IP address, and a certificate of completion. Preserve these records according to agency retention rules to support audits and investigations if necessary.
Coordinate with security and legal teams
Before finalizing forms, review with the facility security officer or legal counsel if unfamiliar requirements exist; coordination prevents misfiling and ensures SF-312 obligations align with contract or agency directives.

Realistic scenarios for using the SF312
