BUSINESS SERVICES AGREEMENT

This Business Services Agreement (the "Agreement") is entered into as of Effective Date: by and between Service Provider: with principal place of business at and Client: with principal place of business at .

RECITALS

WHEREAS, Service Provider has expertise and experience in providing commercial business services and deliverables described below; and

WHEREAS, Client desires to retain Service Provider to perform such services on the terms and subject to the conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows.

SCOPE OF WORK

Service Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Deliverables shall be subject to Client acceptance testing for a period of days following delivery unless otherwise agreed in writing.

PAYMENT TERMS

Service Provider shall submit written invoices to Client. Invoices are due and payable within days of receipt. Unless otherwise specified, payment shall be made in lawful currency of the United States.

Overdue amounts shall accrue interest at the rate specified above or, if no rate is specified, at the maximum rate permitted by applicable law. Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for thirty (30) days after written notice.

CONFIDENTIALITY

Each party (the "Receiving Party") shall protect and hold in confidence all nonpublic information disclosed by the other party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is (a) publicly known through no breach of this Agreement; (b) rightfully received from a third party without breach of any obligation of confidentiality; or (c) independently developed without use of the Disclosing Party's Confidential Information.

Receiving Party shall use Confidential Information solely for performance under this Agreement and shall return or destroy Confidential Information upon request of the Disclosing Party. Permitted disclosures to affiliates, counsel, accountants, or as required by law must be limited to information reasonably necessary and, where practicable, subject to protective obligations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for disputes shall be the state or federal courts located in the selected jurisdiction unless parties agree otherwise in writing.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld. Any purported assignment in violation of this Section shall be void.

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the parties shall negotiate in good faith to replace such provision with a valid provision that most nearly effects the parties' original intent.
