Parties

Recitals (WHEREAS)

WHEREAS, Party A is in the business of providing professional services and possesses the skill and expertise required to perform the services described herein; and

WHEREAS, Party B desires to engage Party A to perform certain services under the terms and conditions set forth in this Agreement and Party A agrees to perform such services for Party B; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Party A shall perform the services described below (the "Services"). The Services shall be performed in a professional manner in accordance with industry standards and the schedule agreed by the parties.

Payment Terms

Compensation: Party B shall pay Party A a total fee of USD for the Services described in this Agreement.

Deposit: Party B shall pay a non-refundable deposit of USD upon execution of this Agreement, which will be applied toward the total fee.

Late Payments: Any amount not paid within days of invoice shall accrue a late fee of % per month (or the maximum permitted by law) on the unpaid balance, and Party B shall be responsible for all costs of collection, including reasonable attorneys' fees.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated pursuant to this Section.

Termination for Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Upon termination, Party A shall be entitled to payment for Services performed and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Definition: For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) hold Confidential Information in strict confidence and use at least the same degree of care to protect it as it uses to protect its own confidential information but in no event less than reasonable care, (b) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein, and (c) use Confidential Information solely for the purposes of performing its obligations under this Agreement.

Duration: The obligations in this section shall continue for a period of years from the date of disclosure, except with respect to trade secrets where the obligations shall continue for as long as such information remains a trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in a writing signed by an authorized representative of each party.

Miscellaneous

Assignment: Neither party may assign this Agreement or any of its rights hereunder without the prior written consent of the other party, except that a party may assign this Agreement without consent to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
