BUSINESS DOCUMENT SIGNED

THIS GENERAL BUSINESS AGREEMENT ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain services and deliverables described in this Agreement, and Service Provider is willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the parties intend that the rights and obligations created by this Agreement shall govern the performance, compensation, and confidentiality of the relationship between the parties.

Scope of Work

Service Provider shall provide the services and deliverables described below. All work will be performed in a professional manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider for the services performed in accordance with the terms set forth below. Unless otherwise agreed in writing, compensation is earned when services are performed or deliverables accepted.

Payments are due within days of invoice. Late payments shall accrue a late fee of % per month (or the maximum permitted by law), compounded monthly, plus all costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement commences on and continues until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach by the other party if such breach is not cured within thirty (30) days following written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination, subject to any applicable setoffs for damages resulting from a breach by Service Provider.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that (i) is or becomes generally known to the public without breach of this Agreement; (ii) was in the Receiving Party's possession prior to receipt from the Disclosing Party; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information only for the performance of its obligations under this Agreement and shall protect such information using at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. The obligations of confidentiality shall survive termination of this Agreement for years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

Representations; Warranties; Indemnification

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Each party shall indemnify, defend and hold the other harmless from and against any claims, liabilities, losses, damages and expenses arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties agree that disputes shall be resolved in the courts of that jurisdiction, and each party consents to personal jurisdiction and venue therein.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control.

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
