BUSINESS DOCUMENT SIGNNOW TEST

This General Business Agreement (the Agreement) is entered into as of (Effective Date) by and between (Client) and (Service Provider).

WHEREAS

WHEREAS, Client requires the performance of certain business services and the Provider represents that it has the experience, personnel and facilities necessary to perform the services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will provide such services to Client in accordance with the Scope of Work set forth below.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. Scope of Work

Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Provider will supply personnel, equipment and materials necessary for performance unless otherwise specified in writing.

2. Payment Terms

All payments shall be due within days of invoice unless otherwise agreed in writing. Client shall be responsible for any reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment obligations.

3. Term and Termination

This Agreement shall commence on and shall continue in effect until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Termination for convenience by Client may be effected upon payment for all services performed and reasonable, documented costs incurred by Provider up to the effective date of termination.

4. Confidentiality

Each party (Receiving Party) shall hold in strict confidence all non-public, proprietary or business information disclosed by the other party (Disclosing Party) in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to disclosure; or (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party will not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential obligations shall survive termination of this Agreement for unless a longer period is required by law.

5. Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or breach of this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party's liability for damages shall exceed the total amount paid or payable under this Agreement during the twelve (12) month period preceding the claim.

6. Notices

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses set forth above and shall be deemed given upon receipt.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

8. Entire Agreement

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous

Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets. Any permitted assignee shall assume all obligations of the assigning party.
