RECITALS

PAYMENT TERMS

All invoices are due within the payment terms stated above. Overdue amounts shall accrue interest at the rate specified in Late Payment Fee, and Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider to collect overdue sums.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means nonpublic information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, business plans, customer lists, pricing, technical data, and trade secrets.

Each party agrees: (a) to protect Confidential Information of the other party with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not to use Confidential Information for any purpose other than performing its obligations under this Agreement; and (c) not to disclose Confidential Information to any third party except to employees, contractors or affiliates who have a need to know and who are bound by confidentiality obligations at least as restrictive as those in this Agreement. Confidentiality obligations do not apply to information that is or becomes publicly available without breach of this Agreement, is rightfully received from a third party without obligation of confidentiality, or is independently developed without use of the other party's Confidential Information.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. If the dispute is not resolved within 30 days, either party may pursue any remedy available at law or in equity.

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an agency, partnership, joint venture or employment relationship between them.
