Common mistakes to avoid when preparing the document

  • Using informal or abbreviated party names which create ambiguity in enforcement and may require correction later.
  • Omitting explicit signatory authority verification, which can lead to claims that the signer lacked capacity to bind the organization.
  • Failing to attach referenced exhibits or schedules, resulting in incomplete obligations and potential disputes about scope or deliverables.
  • Not capturing the full audit trail or relying on emailed images of signatures instead of retaining the native signed record.

Risks and legal consequences of incorrect completion

Tax Reporting: IRC §6721 penalties
I-9 Violations: 8 CFR §274a.2 fines possible
HIPAA Breach: 45 CFR §164.530(j) consequences
Contract Voidability: Ambiguities risk unenforceability
Notarization Errors: May delay recording or title transfer
Intentional Misstatement: Potential fraud liability

Practical tips for accurate and efficient completion

Apply these practices to reduce rework, speed approvals, and preserve evidentiary value of the signed record.

Standardize party names and identifiers
Use the entity's exact legal name and EIN consistently across the document, attachments, and any tax forms to prevent mismatches that trigger compliance checks or payment holds.
Use unambiguous dates and formats
Enter dates as MM/DD/YYYY throughout and define time zones where time-based obligations exist to avoid disputes about deadlines or cure periods.
Require authority confirmation
Have signers include printed name and title and maintain a delegation-of-authority record for corporate signatories to establish clear capacity to bind the organization.
Preserve the audit trail
Retain the final signed PDF plus metadata (IP, timestamps, signer email) and note any in-line edits or initials so the executed record can be faithfully reproduced for audits or litigation.
