This Business Document Split Agreement (the Agreement) is made effective as of between:

WHEREAS, Party A owns certain rights, title, and interests in or to the document(s) and related materials described below; and

WHEREAS, the parties desire to allocate ownership, entitlement to proceeds, and responsibilities for the identified document(s) on the terms set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement constitute a binding allocation of rights and revenue with respect to the document(s) described herein.

Document Description and Scope

For purposes of this Agreement, the term "Business Document" means the materials, drafts, final deliverables, and associated intellectual property described above and any derivative works created in furtherance of the parties' collaboration.

Allocation and Payment Terms

The parties agree to divide ownership and proceeds from the Business Document as follows:

All payments due under this Agreement shall be made in United States dollars unless expressly agreed otherwise. Payments shall be made to the receiving party within the time frame specified in the payment schedule. Any undisputed payment not made when due shall bear interest at the rate of from the due date until paid. If a dispute arises as to an amount owed, the undisputed portion remains payable as provided herein.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations and any post-termination cooperation necessary to effect an orderly transfer or wind-down of rights.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public, proprietary, or business-sensitive information disclosed in connection with the Business Document, whether oral, written, or electronic. Confidential Information does not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; or (c) is independently developed without use of the other party's Confidential Information.

The parties' obligations under this confidentiality provision shall survive termination of this Agreement for a period of three (3) years or for such longer period as required to protect trade secrets under applicable law.

Representations; Indemnity

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to grant the rights and obligations set forth herein. Each party agrees to indemnify and hold harmless the other party from and against third-party claims arising out of the indemnifying party's breach of its representations, warranties or obligations under this Agreement, subject to the indemnified party providing prompt written notice of any claim and reasonable cooperation in the defense of such claim.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to choice-of-law principles. The parties shall attempt in good faith to resolve disputes through negotiation. If negotiation fails, the parties may pursue remedies in the courts located within the chosen governing state.

Entire Agreement; Miscellaneous

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.

The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality or exclusive rights and agree that the non-breaching party may seek injunctive relief in addition to other remedies.
