WHEREAS, the Client and the Contractor are parties to a Master Agreement (the "Agreement") referenced above and desire to supplement and clarify the responsibilities, deliverables and payment terms applicable to specific work defined in this attachment; and

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" means non-public information disclosed by a party that is designated as confidential or that reasonably should be understood to be confidential. Recipient shall (a) protect Confidential Information with at least the same degree of care it uses for its own confidential information, (b) use Confidential Information only to perform under this attachment, and (c) not disclose Confidential Information to any third party except to its employees or subcontractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. Confidential Information does not include information that is (i) publicly known through no fault of the recipient, (ii) rightfully received from a third party without restriction, (iii) independently developed without use of Confidential Information, or (iv) required to be disclosed by applicable law, provided the disclosing party is given prompt notice and the disclosure is limited to the extent required.

Insurance and Compliance

Contractor shall maintain insurance coverage customary for the services performed and comply with all applicable laws, regulations and industry standards. Upon request, Contractor will provide proof of insurance and any required compliance documentation to Client.

Independent Contractor

The relationship of the Contractor to the Client is that of an independent contractor. Nothing in this attachment shall be construed to create a partnership, joint venture, employment, or agency relationship between the parties.

Governing Law

This attachment shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law.

Entire Agreement

This attachment, together with the Agreement and any exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
