DOCUMENT NAME

This General Business Agreement (the "Agreement") is made effective as of by and between Client Name: and Service Provider Name: . The parties agree as follows.

RECITALS

WHEREAS, Client requires certain business services and deliverables in connection with its operations, and Provider has the capacity and expertise to provide those services under the terms set forth herein;

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the provision of services, payment, confidentiality, and termination.

SCOPE OF WORK

Provider shall deliver the services described above in a professional and workmanlike manner consistent with industry standards and shall allocate sufficient personnel and resources to meet the milestones and deliverables set forth in this Agreement. Any material change to the Scope of Work shall be made only by written amendment signed by both parties.

PAYMENT TERMS

Payment shall be made in accordance with the Payment Schedule. Unless otherwise specified, Client shall pay Provider within days of receipt of a proper invoice. All amounts are stated in lawful currency and are exclusive of any applicable taxes, which Client shall be responsible for unless a valid exemption applies.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and, unless earlier terminated, shall continue until the End Date: or until completion of the Scope of Work, whichever occurs later.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Provider shall be entitled to payment for services properly performed through the effective date of termination and for reasonable wind-down costs if such costs are pre-approved in writing by Client.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) hold Confidential Information of the other in strict confidence; (b) use Confidential Information only to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party is given prompt written notice and the disclosure is limited to the extent legally required.

The confidentiality obligations survive termination of this Agreement for a period of years, except with respect to trade secrets, for which obligations shall continue for as long as such information remains a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of any disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses provided above or to such other address as a party may designate in writing.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any other breach or default.
