RECITALS

WHEREAS, Client Name: is engaged in business and seeks services described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will perform the services and Client will compensate Provider.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Provider the fees set forth below in consideration for the performance of the Scope of Work.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Provider shall invoice Client according to the Payment Schedule; invoices not disputed in good faith within ten (10) business days shall be deemed accepted.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon Notice Period (days): days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receiving written notice of the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligation: Each party shall hold Confidential Information of the other party in strict confidence, shall not disclose such information to any third party except as necessary to perform this Agreement, and shall take reasonable steps to protect such information no less protective than those it uses to protect its own confidential materials of similar nature.

Exceptions: Confidential Information does not include information that is (i) publicly known through no fault of the receiving party, (ii) already known by the receiving party without breach of any obligation to the disclosing party, (iii) independently developed by the receiving party, or (iv) rightfully obtained from a third party without breach of any obligation to the disclosing party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Assignment: Neither party may assign or transfer this Agreement, in whole or in part, without the prior written consent of the other party, except that Provider may assign this Agreement to an affiliate or to a purchaser of substantially all of Provider's assets related to this Agreement.
