WHEREAS

WHEREAS, Service Provider is engaged in the business of providing professional services and possesses the qualifications, experience, and capacity to perform services described herein; and

WHEREAS, Client desires to retain Service Provider to perform certain services for the benefit of Client on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Service Provider shall provide the services described below (the "Services"). Service Provider shall perform the Services in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

In consideration for the performance of the Services, Client shall pay Service Provider the fees set forth below. Fees do not include taxes unless otherwise stated. Payment obligations are non-cancelable except as expressly provided in this Agreement.

Late payments will accrue interest at the rate of percent per month (or the maximum lawful rate if lower). Client shall also reimburse Service Provider for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other party, whether disclosed orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party agrees (i) to hold Confidential Information in strict confidence and to use it only for the purposes of performing obligations under this Agreement; (ii) not to disclose Confidential Information to any third party except to its employees, agents or contractors with a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (iii) to take all reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential obligations shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in such state for any disputes arising under this Agreement.

Entire Agreement

This Agreement, together with any exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

All notices, requests, consents, claims, demands, waivers and other communications hereunder shall be in writing and addressed to the parties at their addresses set forth below (or to such other address as may be designated by a party by written notice to the other).
