BUSINESS DOCUMENT SYNCHRONY

Parties

This Business Document Synchrony Agreement (the Agreement) is entered into as of between:

Recitals

WHEREAS, Client maintains business records, operational documents, and other materials necessary to the conduct of Client's business; and

WHEREAS, Provider offers document management, synchronization and record reconciliation services and agrees to process, reconcile and synchronize Client's specified business documents in accordance with the terms set forth herein; and

WHEREAS, the parties desire a formal agreement establishing the scope, compensation, confidentiality and operational parameters for the synchronization of Client's business documents.

Scope of Work

Provider shall provide the following services to Client in respect of document synchrony and record reconciliation. Detailed deliverables, acceptance criteria and frequency of synchronization shall be set forth below.

Payment Terms

Client shall pay Provider the fees described below in consideration for the services rendered. Fees are exclusive of applicable taxes unless otherwise stated.

If any undisputed invoice is not paid within days after the invoice due date, Provider may assess a late fee of on the outstanding amount, or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice specifying the breach; provided, however, that Provider may suspend services for nonpayment immediately upon written notice and withhold synchronized records until payment is made in full.

Confidentiality

Each party (the Receiving Party) shall keep confidential and not disclose to any third party any Confidential Information of the other party (the Disclosing Party) except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public business information, trade secrets, financial data, customer lists, technical specifications, and synchronized record outputs. Confidential Information does not include information that: (a) becomes publicly available without breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination or written request, the Receiving Party shall return or destroy the Disclosing Party's Confidential Information and certify such return or destruction in writing.

Data Security and Compliance

Provider shall implement and maintain administrative, technical, and physical safeguards reasonably designed to protect Client data against unauthorized access, disclosure, alteration, or destruction. Provider shall comply with industry-standard protections and applicable legal and regulatory requirements for personal and financial data processing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.

Entire Agreement; Amendment

This Agreement, including any attachments and mutually executed amendments, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous oral and written agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notice

Notices under this Agreement shall be in writing and delivered to the addresses listed in the Parties section or to such other address as a party designates by written notice. Notices shall be effective upon personal delivery, confirmed electronic delivery, or three (3) days after deposit with a nationally recognized overnight courier.
