WHEREAS

WHEREAS, Client retains Contractor to perform certain services described below and Contractor agrees to perform such services under the terms and conditions set forth in this Agreement;

WHEREAS, the parties desire to set forth the scope, timing, compensation, and other terms governing their relationship in a written agreement;

WHEREAS, the parties acknowledge that timely performance and the protection of confidential information are critical to the business purposes of this engagement.

Scope of Work

Payment Terms

All invoices shall be payable within days of invoice date. Late payments shall accrue interest at the lesser of per month or the maximum rate permitted by applicable law. In addition, Client shall reimburse Contractor for reasonable collection costs, including attorneys' fees, incurred in enforcing payment obligations.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon giving the other party written notice at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of days after written notice of such breach.

Upon termination for any reason, Client will pay Contractor for all services performed and expenses incurred through the effective date of termination, together with any non-cancellable commitments reasonably made by Contractor.

Confidentiality

"Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party, whether oral or written, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) was known by the receiving party prior to disclosure as shown by its written records; (c) is rightfully received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

The receiving party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses for its own confidential information but with no less than reasonable care; and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

The confidentiality obligations shall survive termination of this Agreement for a period of years from the date of disclosure, except that trade secrets shall remain protected for so long as they qualify for trade secret protection under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign to an affiliate or in connection with a sale of substantially all of its assets.

Amendment and Waiver: No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by both parties. No failure or delay in exercising any right will operate as a waiver.

Entire Agreement

This Agreement, including all schedules and attachments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
