Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice describing the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public business, technical, financial or other information disclosed by one party to the other, whether in writing, orally, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligation: The receiving party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as permitted herein, and (iii) use Confidential Information solely to perform obligations under this Agreement. The receiving party shall take reasonable measures to protect Confidential Information no less than those it uses to protect its own confidential information of similar importance.

Exclusions: Confidential Information does not include information that (a) is or becomes generally available to the public other than by a disclosure by the receiving party in violation of this Agreement, (b) was rightfully in the receiving party's possession without restriction prior to disclosure, (c) is rightfully obtained by the receiving party from a third party without breach of any obligation of confidentiality, or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW; DISPUTE RESOLUTION
