BUSINESS DOCUMENT TD4

This Business Agreement ("Agreement") is entered into as of by and between Client Name: and Contractor Name: .

Recitals

WHEREAS, Client requires certain services related to the business operations and has engaged Contractor to perform such services under the terms set forth herein; and

WHEREAS, Contractor represents that it has the professional experience, personnel, and capability to perform the Services described below and agrees to provide those Services pursuant to the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Definitions

"Services" means the work described in the Scope of Work section. "Confidential Information" means non-public information disclosed by one party to the other under this Agreement and designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Scope of Work

Payment Terms

Client shall pay Contractor the total fee of USD for performance of the Services in accordance with the schedule below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at % per month (or the maximum rate permitted by law, if lower). Client shall also be responsible for reasonable collection costs and attorneys' fees incurred in enforcing payment.

Term and Termination

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately upon written notice for material breach by the other party if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the breach, or immediately for cause where applicable (including insolvency or unlawful conduct).

Confidentiality

Each party agrees to hold Confidential Information of the other party in strict confidence and to use such information only to perform its obligations under this Agreement. The receiving party shall exercise no less than reasonable care to prevent unauthorized disclosure. Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of disclosed Confidential Information; or (d) is required to be disclosed by law or governmental order, provided the disclosing party is given prompt notice and the disclosure is limited to the extent required.

Representations; Independent Contractor

Each party represents and warrants that it has the authority to enter into this Agreement. Contractor is an independent contractor and not an employee, agent, or partner of Client. Contractor is solely responsible for all payroll taxes, benefits and other obligations of its personnel.

Contractor acknowledges and agrees it performs Services as an independent contractor and not as an employee of Client.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses below (or such other addresses as a party designates by notice).

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Any disputes arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within that state.

Limitation of Liability

Except for liability arising from breach of confidentiality, gross negligence, or willful misconduct, neither party shall be liable for incidental, consequential, special or punitive damages. Each party's aggregate liability under this Agreement shall not exceed the total fees paid by Client to Contractor in the six (6) months preceding the claim.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral. Any amendment must be in writing and signed by both parties.

Severability

If any provision of this Agreement is determined to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a valid substitute provision.
