Recitals

WHEREAS, Party A, a party seeking business services, desires to retain Party B to perform certain professional services on the terms and conditions set forth in this Agreement; and

WHEREAS, Party B represents that it has the skill, experience and resources necessary to perform the services described herein and is willing to perform such services for Party A in accordance with the terms of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Party B shall provide the services and deliverables described below. Party B shall perform the services in a timely and professional manner consistent with industry standards and shall allocate suitably qualified personnel to perform the services.

Payment Terms

Compensation: Party A shall pay Party B a total fee of USD for the services described in this Agreement, subject to the schedule and terms below.

Invoicing and Due Date: Party B shall submit invoices in accordance with the payment schedule. Unless otherwise stated, payment is due within days of receipt of a proper invoice. Late payments shall incur interest.

Late Fee: Any undisputed amount not paid when due shall accrue interest at the lesser of (a) the rate of or (b) the maximum rate permitted by applicable law. Party A shall also be responsible for reasonable costs of collection.

Term and Termination

Term: This Agreement shall commence on the Effective Date and shall continue until the completion of the services or until terminated in accordance with this Section. Commencement date:

Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Termination for Cause: Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice.

Effect of Termination: Upon termination, Party B shall deliver all completed work and Party A shall pay Party B for all work performed and expenses incurred through the effective date of termination in accordance with the Payment Terms.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party (the Disclosing Party) to the other party (the Receiving Party), whether disclosed orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. The foregoing obligations shall not apply to information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided that the Receiving Party gives prompt notice to the Disclosing Party to allow it to seek protective measures.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If unresolved, the parties may pursue any remedy available at law or in equity in the courts of the governing state.

Miscellaneous Provisions

Independent Contractor: Party B is an independent contractor and shall not be deemed an employee, agent, or partner of Party A. Party B is solely responsible for all taxes, withholdings and other statutory obligations related to its performance.

Assignment: Neither party may assign or delegate any rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.

Remedies; Limitation of Liability: Except for a breach of confidentiality or a party's willful misconduct, neither party shall be liable for incidental, consequential or punitive damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the amounts paid or payable by Party A to Party B under this Agreement during the six (6) months preceding the event giving rise to the claim.

Entire Agreement; Amendment

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the address for each party set forth above or to such other address as either party may designate by notice to the other in accordance with this Section.
