GENERAL BUSINESS AGREEMENT

This General Business Agreement (the Agreement) is made and entered into as of Day: Month: Year: , by and between Party A: located at , and Party B: located at .

RECITALS

WHEREAS, Party A is engaged in the business of providing products and/or services and desires to retain Party B to perform certain services as described below; and

WHEREAS, Party B represents that it has the professional capability, licenses, staffing and experience to perform such services and is willing to provide such services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

SCOPE OF WORK

Party B shall perform the services described above (the Services) in a professional and workmanlike manner, consistent with industry standards. Party B shall furnish all personnel, equipment and materials necessary to perform the Services except as explicitly set forth in writing in advance.

PAYMENT TERMS

Unless otherwise agreed in writing, Party B shall submit invoices to Party A in accordance with the Payment Schedule. Invoices are payable within days of receipt. All payments shall be made in lawful currency of the United States unless otherwise agreed.

Late payments shall incur interest at the lesser of % per month or the maximum rate permitted by applicable law, calculated from the due date until paid.

Unless otherwise specified, prices and fees are exclusive of sales, use, value-added and other similar taxes, which shall be the responsibility of the party required by law to collect or pay such taxes.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in full force and effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice of to the other party. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice describing the breach.

Upon termination, Party B shall cease performance and invoice Party A for all Services performed through the effective date of termination. Payment for undisputed amounts shall be due in accordance with the Payment Terms.

CONFIDENTIALITY

“Confidential Information” means nonpublic information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to hold the other party’s Confidential Information in strict confidence and to use it only for purposes of performing obligations under this Agreement.

The confidentiality obligations shall continue for years after the date of disclosure, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law. Confidential Information shall not include information (i) in the public domain through no fault of the recipient, (ii) independently developed by the recipient without access to the disclosing party’s Confidential Information, or (iii) lawfully received from a third party with the right to disclose.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of or related to this Agreement.

MISCELLANEOUS

Entire Agreement. This Agreement (including all exhibits and attachments, if any) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Independent Contractor. Party B is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee or agency relationship. Party B shall be solely responsible for all taxes, withholdings and other statutory obligations of its personnel.

Assignment. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign the Agreement in connection with a merger, sale of substantially all assets or operation of law provided the assignee assumes the assigning party’s obligations in writing.

Remedies. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law or in equity. In the event of a breach of the confidentiality obligations, the disclosing party shall be entitled to seek injunctive relief in addition to any other remedies.
