Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice detailing the breach. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party (Recipient) shall hold in strict confidence and shall not disclose or use any Confidential Information of the other party (Discloser) except as necessary to perform its obligations under this Agreement. Confidential Information includes non-public business, technical, financial or other proprietary information disclosed in connection with this Agreement.

Confidential Information does not include information which (a) is or becomes generally available to the public through no fault of Recipient; (b) was lawfully in Recipient's possession prior to receipt from Discloser; (c) is rightfully received by Recipient from a third party without breach of any obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to that state's conflict of laws principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by hand delivery, certified mail (return receipt requested), or nationally recognized courier service.

Entire Agreement

This Agreement, together with any Schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be binding unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to a successor to substantially all assets or business of such party.
