BUSINESS DOCUMENT THEMBA

This Business Agreement (the Agreement) is entered into as of by and between:

Parties

WHEREAS

WHEREAS, Service Provider has expertise and resources to perform certain business services described herein; and

WHEREAS, Client desires to engage Service Provider to perform such services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Scope of Work

Service Provider shall provide the services and deliverables described in the Scope of Work. The Scope of Work shall include specific tasks, milestones, deliverables, and acceptance criteria as required by Client.

Payment Terms

In consideration for the full and timely performance of the services by Service Provider, Client shall pay Service Provider the amounts set forth below in accordance with the schedule and conditions described.

Late payment shall accrue interest at the lesser of (a) the rate of compounded monthly, or (b) the maximum rate permitted by applicable law. Client shall also be responsible for reasonable costs of collection, including attorney fees.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective date of termination. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice of such breach.

Confidentiality

During the term of this Agreement and for a period of three (3) years thereafter, each party shall hold in confidence and not disclose to any third party any Confidential Information of the other party. "Confidential Information" means non-public information disclosed in connection with this Agreement, including business plans, customer lists, pricing, designs, and proprietary processes. Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was known to the receiving party prior to disclosure; or (c) is independently developed without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information and certify in writing that it has complied with this obligation.

Warranties and Liability

Service Provider represents that it will perform services in a professional and workmanlike manner consistent with generally accepted industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, OR PUNITIVE DAMAGES, AND THE AGGREGATE LIABILITY OF EITHER PARTY SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that the state and federal courts located in that state shall have exclusive jurisdiction over any dispute arising out of this Agreement.

Entire Agreement

This Agreement, including any appendices and the Scope of Work incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
