Parties

This Agreement is entered into between:

Recitals

WHEREAS, the Client desires to engage the Service Provider to perform certain professional services as further described herein; and

WHEREAS, the Service Provider has represented that it possesses the skill, expertise and personnel necessary to perform such services in a competent and timely manner; and

WHEREAS, the parties wish to reduce the terms of their agreement to writing and to define their respective rights and obligations.

Scope of Work

The Service Provider shall provide the services and deliverables described below. The description is intended to define the material obligations of the Service Provider and the acceptance criteria for deliverables.

Payment Terms

Compensation for the services performed under this Agreement shall be as set forth below. All amounts are in U.S. Dollars unless otherwise stated.

Late payments shall accrue interest at the rate specified below and the Client shall also be responsible for any collection costs, including reasonable attorneys' fees.

Term and Termination

This Agreement commences on the Effective Date set forth below and continues until the Completion Date unless earlier terminated pursuant to this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Termination shall not relieve the Client of the obligation to pay for services rendered and accepted up to the effective date of termination. Upon termination, the Service Provider shall deliver any work in progress and the Client shall pay for all reasonable and documented work performed through the date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by either party that is designated as confidential or that, by its nature, should reasonably be considered confidential under the circumstances.

Each party shall: (a) use Confidential Information solely for the performance of its obligations under this Agreement; (b) restrict disclosure of Confidential Information to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein; and (c) exercise reasonable care, but in no event less than the same standard of care it uses to protect its own confidential information, to prevent unauthorized disclosure.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law. The foregoing does not apply to information that is: (i) publicly known through no breach by the receiving party; (ii) rightfully received from a third party without obligation of confidentiality; or (iii) independently developed by the receiving party without use of the disclosing party’s Confidential Information.

Indemnification

Each party (the "Indemnifying Party") shall indemnify, defend and hold harmless the other party (the "Indemnified Party") from and against any and all third-party claims, liabilities, damages, and reasonable costs (including attorneys' fees) arising out of the Indemnifying Party's gross negligence, willful misconduct or material breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree to attempt to resolve disputes in good faith through negotiation; if unresolved, disputes shall be resolved by binding arbitration in the county where the Client's principal place of business is located, unless the parties agree otherwise in writing.

Representations; Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder and that performance will not violate any other agreement or legal obligation to which it is bound.

Entire Agreement; Amendments

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals and agreements. No amendment, modification or waiver shall be effective unless reduced to writing and signed by authorized representatives of both parties.

Severability; Remedies

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The rights and remedies provided in this Agreement are cumulative and in addition to any other rights available at law or in equity.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as either party may specify in writing.
