Business Document Tristram

This Business Agreement ("Agreement") is made as of Effective Date: between:

Recitals

WHEREAS, Client engages Service Provider to perform certain services as described herein in connection with Client's business operations and commercial objectives; and

WHEREAS, Service Provider represents that it has the expertise, personnel, and resources necessary to perform the services and will perform such services in a professional and workmanlike manner in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the provision and payment of services.

Scope of Work

Service Provider shall perform the services, deliverables and milestones described below. All work shall conform to the specifications and schedule set forth by the parties, and any material changes shall be subject to the Change Order procedure in this Agreement.

Payment Terms

Client shall pay Service Provider for the services described in this Agreement in accordance with the fee structure and schedule set forth below. Payment obligations are independent of the outcome of the services except as expressly provided in this Agreement.

All fees are exclusive of taxes, duties, and other governmental charges. Client shall reimburse Service Provider for reasonable out-of-pocket expenses pre-approved in writing by Client.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing Notice Period: days' prior written notice to the other party. Either party may terminate for material breach if the breach remains uncured for thirty (30) days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination. Sections that by their nature survive termination shall remain in effect.

Confidentiality

"Confidential Information" means non-public business, technical, financial, or other information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Recipient shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

Confidentiality obligations do not apply to information that (a) is or becomes generally available to the public without breach of this Agreement, (b) was in Recipient's possession prior to disclosure, (c) is received from a third party without breach of an obligation of confidentiality, or (d) is independently developed by Recipient.

Independent Contractor; Indemnification; Limitation of Liability

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Service Provider is solely responsible for all employment taxes and benefits for its personnel.

Each party shall indemnify and hold harmless the other party from and against claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of a party's gross negligence, willful misconduct, or material breach of this Agreement. The indemnifying party shall defend the indemnitee at the indemnifying party's expense.

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, each party's aggregate liability under this Agreement shall not exceed the total fees paid or payable to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Assignment; Amendment; Severability

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control provided the assignee assumes all obligations. Any attempted assignment in violation of this section is void.

This Agreement may be amended only by a writing executed by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

This Agreement, including any exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, proposals, and communications, whether oral or written.
