This General Business Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: ("Client") and Contractor Name: ("Contractor").

RECITALS

WHEREAS, Client desires to retain Contractor to perform certain services described herein and Contractor represents that it has the qualifications, experience, and ability to perform such services;

WHEREAS, Contractor agrees to perform such services on the terms and conditions set forth in this Agreement and to deliver the work described in the Scope of Work section below;

WHEREAS, the parties intend that this Agreement set forth the entire understanding between them with respect to the subject matter hereof.

SCOPE OF WORK

Contractor shall perform the services and deliverables described below. Contractor will perform work in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Compensation: Client shall pay Contractor a total fee of $ (the Fee) for performance of the Scope of Work.

Invoices are due within days of Client's receipt of an undisputed invoice. Late payments shall accrue interest at the lesser of (i) per month or (ii) the maximum rate permitted by applicable law. Client shall also reimburse reasonable collection costs and attorney fees incurred by Contractor in collecting overdue amounts.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for Cause: Either party may terminate immediately for material breach by the other party that remains uncured for a period of ten (10) days after written notice of such breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving Party shall (i) protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Exclusions: Confidential Information does not include information that is (i) publicly known through no wrongful act of Receiving Party, (ii) rightfully received from a third party without restriction, (iii) independently developed by Receiving Party without use of Disclosing Party's Confidential Information, or (iv) required to be disclosed by law, provided Receiving Party gives prompt notice and cooperates with Disclosing Party in any protective action.

Duration; Remedies: The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law. Remedies for breach include injunctive relief in addition to any other legal or equitable remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. No amendment or waiver of any provision of this Agreement will be effective unless in writing signed by both parties.

ADDITIONAL PROVISIONS

Contractor is an independent contractor and shall not be deemed an employee, agent, or legal representative of Client for any purpose. Contractor is solely responsible for payment of all taxes and benefits for its personnel.

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total fees paid or payable to Contractor under this Agreement in the twelve (12) months preceding the claim.
