BUSINESS DOCUMENT UMUIM

This Business Document UMUIM (the Agreement) is made and entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Party A is engaged in providing certain business services, intellectual property, and marketing resources and desires to retain Party B to perform specified services under the terms set forth herein; and

WHEREAS, Party B represents that it has the experience, qualifications and personnel necessary to perform the services described in this Agreement and agrees to perform such services for Party A in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations in writing.

SCOPE OF WORK

Party B shall perform the services described below (the Services). Party B shall perform the Services in a professional manner consistent with industry standards.

PAYMENT TERMS

In consideration for the Services, Party A shall pay Party B the amounts and according to the schedule set forth below. All amounts are in United States Dollars unless otherwise specified.

Late payments shall accrue interest at the lesser of (a) the maximum rate permitted by applicable law, or (b) the rate specified below.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of days following written notice specifying the breach. Either party may also terminate for convenience upon written notice of days to the other party.

Upon termination, Party B shall deliver all work product completed through the effective date of termination and shall invoice Party A for work performed to that date. Payment for undisputed amounts shall be due in accordance with the Payment Terms.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by a disclosing party to a receiving party, whether in written, oral, electronic, or other form, that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted in this Agreement; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure, which measures shall be no less protective than those used to protect its own confidential information of a similar nature.

The obligations in this section shall not apply to information that: (i) is or becomes publicly known without breach of this Agreement by the receiving party; (ii) is received from a third party without breach of an obligation of confidentiality; (iii) is independently developed by the receiving party; or (iv) is required to be disclosed by law, provided that the receiving party gives the disclosing party prompt written notice and cooperates in any lawful effort to limit disclosure.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate by written notice to the other party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that a party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
