WHEREAS

WHEREAS, Client Name: seeks to retain the services described herein to perform certain business, consulting, and operational services for the benefit of Client; and

WHEREAS, Service Provider Name: represents that it has the necessary expertise, personnel, and resources to perform the services set forth in this Agreement.

WHEREAS, the parties desire to set forth the terms and conditions under which the Service Provider will provide services to Client.

SCOPE OF WORK

The Service Provider shall perform the services and deliverables described below in a professional and workmanlike manner. The scope set forth below constitutes the essential obligations of the Service Provider under this Agreement.

PAYMENT TERMS

As consideration for the Services, Client shall pay Service Provider in accordance with the terms below. All amounts are in lawful currency of the jurisdiction specified under Governing Law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the duration of the Notice Period following written notice. Termination for insolvency, bankruptcy, or unlawful conduct may be immediate.

CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information received from the other party, shall not disclose such information to any third party except as expressly permitted herein, and shall use such information only for the purposes of performing obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available other than by breach of this Agreement, or that is rightfully received from a third party without restriction.

Upon termination or expiration of this Agreement, Receiving Party shall, at Disclosing Party's option, return or certify destruction of all tangible items containing Confidential Information.

Service Provider shall return or destroy confidential materials as required above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by both parties.

MISCELLANEOUS

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to carry out its obligations hereunder. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control. Any notices required or permitted hereunder shall be in writing and delivered to the address set forth below or such other address as either party may designate in writing.
