CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"). Confidential Information includes nonpublic business, technical, financial, and strategic information disclosed in any form. Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) is already rightfully in the Receiving Party's possession prior to receipt from the Disclosing Party; or (iii) is rightfully obtained from a third party without breach of any obligation of confidentiality.

The obligations of confidentiality shall continue for Confidentiality Duration (months): months following termination or expiration of this Agreement, provided that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Exclusive venue for any action arising out of this Agreement shall be the state or federal courts located within that state.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or overnight courier and shall be deemed given upon receipt.

MISCELLANEOUS

Entire Agreement: This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

Amendments: Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
