Confidentiality obligations shall survive termination or expiration of the Agreement for a period of years from the date of disclosure.

Governing Law

This Update and any dispute arising out of or relating to the Agreement as updated shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

Except as expressly modified by this Update, the Agreement remains in full force and effect. This Update, together with the Agreement, embodies the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties between the Parties, whether written or oral, relating to such subject matter.
