This Business Document Updated (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Business desires to retain Service Provider to perform professional services and deliverables described herein and Service Provider represents that it has the qualifications, experience and ability to perform such services in compliance with applicable laws and industry standards;

WHEREAS, the parties previously entered into one or more agreements and desire to update certain terms, including scope, compensation and term, as set forth in this updated Agreement to reflect the parties' current understanding and obligations;

WHEREAS, the parties intend for this Agreement to govern the services provided from the Effective Date until termination in accordance with the Term and Termination provisions below.

Scope of Work

Service Provider shall provide the services and deliverables materially described in this section. The parties agree the obligations include, at minimum, the tasks, timelines and performance standards set forth below. Service Provider shall perform services in a timely, professional manner consistent with prevailing industry standards.

Payment Terms

Business shall pay Service Provider for the services rendered in accordance with the following terms. All amounts are stated in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Service Provider shall submit invoices referencing agreed milestones. Business shall pay undisputed invoice amounts within days of receipt. Disputes as to invoice items must be raised in writing within ten (10) days of receipt; undisputed portions remain payable.

If any undisputed amount is not paid when due, Business shall pay interest on the overdue amount at the lesser of (a) per month or (b) the maximum rate permitted by applicable law, calculated daily and compounded monthly. In addition, Service Provider may suspend performance if invoices remain unpaid for more than days after written notice.

Term and Termination

The term of this Agreement commences on the date set forth above and, unless earlier terminated in accordance with this Agreement, continues until the end date specified below.

Termination for Cause: Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination does not relieve the breaching party of liability for damages or obligations accrued prior to termination.

Confidentiality

Each party (Recipient) shall keep confidential and shall not disclose to any third party any non-public, proprietary or confidential information (Confidential Information) of the other party (Discloser) learned in connection with this Agreement. Confidential Information excludes information that: (a) is or becomes publicly available through no breach of this Agreement by Recipient; (b) was rightfully known to Recipient prior to disclosure; (c) was independently developed by Recipient without use of Discloser's Confidential Information; or (d) is required to be disclosed by law, provided Recipient gives prompt written notice and cooperates with Discloser’s efforts to seek protective measures.

Recipient shall use Confidential Information solely to perform its obligations under this Agreement and shall restrict disclosure to employees, contractors or advisors with a need to know and who are bound by confidentiality obligations at least as protective as those herein. Upon termination or upon request, Recipient shall return or destroy Confidential Information and certify destruction upon reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Exclusive venue for any dispute arising out of this Agreement shall lie in the state or federal courts located in the chosen jurisdiction, unless the parties mutually agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, together with any attachments and schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, negotiations and understandings, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed only to the minimum extent necessary to make it valid and enforceable.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth above or to such other address as either party may designate by written notice to the other.
