Use consistent names and dates
Always use the legal entity or individual name that appears on formation or government ID, and maintain consistent MM/DD/YYYY formatting throughout the document to avoid ambiguity.
Limit handwritten edits
Avoid manual strike-throughs or marginal notes after execution; use a new amendment or addendum to document changes and preserve clarity for enforcement or audits.
Preserve an audit trail
Keep an execution record capturing signer identity, timestamps, and IP or authentication method. This information supports enforceability under ESIGN and state laws.
Attach all referenced exhibits
Include numbered exhibits and schedules at signing. Missing attachments frequently lead to disputes about scope, deliverables, or pricing.
