Recitals

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate this Agreement immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other party, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees (i) to hold Confidential Information in strict confidence, (ii) not to disclose Confidential Information to any third parties except as permitted herein, and (iii) to use Confidential Information solely to perform its obligations under this Agreement. Receiving party may disclose Confidential Information to its employees, contractors or advisers on a need-to-know basis provided that such persons are bound by confidentiality obligations no less protective than those contained herein.

The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets, for which the obligations shall continue for as long as the information qualifies as a trade secret under applicable law.

Representations and Warranties

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder and that the execution and performance of this Agreement will not violate any agreement to which it is a party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Agreement.

Entire Agreement

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
