BUSINESS DOCUMENT UPDATING TEMPLATE

This Business Document Updating Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client requires the preparation, revision, and formal updating of specified corporate and operational documents, policies, templates, and related deliverables (the Documents); and

WHEREAS, Service Provider represents that it possesses the expertise and personnel necessary to perform the work described in this Agreement and is willing to perform such services under the terms set forth herein; and

WHEREAS, the parties desire to set forth the scope, schedule, payment terms and contractual protections applicable to the updating of such Documents.

SCOPE OF WORK

Service Provider shall perform the following services and deliver the following deliverables in accordance with the terms of this Agreement:

PAYMENT TERMS

Client shall pay Service Provider the compensation set forth below in exchange for the Services. All amounts referenced are in lawful currency unless otherwise stated.

Invoices shall be submitted by Service Provider in accordance with the payment schedule. Client shall pay all undisputed amounts within days of receipt of invoice. Late payments shall incur interest and fees as described below.

CHANGE ORDERS

Any material change to the Scope of Work, schedule, or fees shall be documented in a written change order signed by authorized representatives of both parties. Service Provider shall not be obligated to proceed with work that materially expands the Scope of Work without a signed change order.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Section, expires on .

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice describing the breach.

Upon termination, Client shall pay Service Provider for all Services performed and reasonable costs incurred through the effective date of termination. Service Provider shall deliver all work in progress and, upon Client's payment, assign any partially completed materials produced under this Agreement.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public business, technical and financial information disclosed by either party to the other in connection with the Services. Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was rightfully in the receiving party's possession prior to receipt from the disclosing party; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) hold the disclosing party's Confidential Information in strict confidence; (ii) use such Confidential Information solely to perform its obligations or exercise its rights under this Agreement; and (iii) not disclose such Confidential Information to any third party except to employees, contractors or advisers who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

INTELLECTUAL PROPERTY AND DELIVERABLES

Unless otherwise agreed in writing, Service Provider grants to Client a non-exclusive, perpetual, transferable license to use, reproduce and modify the final deliverables delivered under this Agreement for Client's internal business purposes. Service Provider retains ownership of its pre-existing materials, methodologies and templates. Any third-party materials incorporated into deliverables shall be provided under the applicable third-party license terms.

WARRANTIES, LIMITATION OF LIABILITY

Each party represents that it has the authority to enter into this Agreement. Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any executed change orders and exhibits, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or waiver shall be binding unless executed in writing by authorized representatives of both parties.

MISCELLANEOUS

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party may designate by notice. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
