BUSINESS DOCUMENT USA INC. — GENERAL BUSINESS AGREEMENT

This General Business Agreement (the Agreement) is made effective as of by and between:

RECITALS

WHEREAS, Service Provider is duly organized and has the experience, personnel and resources necessary to perform the services described in this Agreement; and

WHEREAS, Client desires to retain Service Provider to perform such services under the terms and conditions set forth herein, and Service Provider agrees to perform the services for the compensation and on the schedule set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to set forth the complete and exclusive terms of their agreement with respect to the subject matter hereof.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. All services shall be performed in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Client shall pay Service Provider as follows.

TERM AND TERMINATION

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Section, continues until the End Date.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the Notice Period specified above following written notice. Termination for convenience by either party requires the providing of the Notice Period.

CONFIDENTIALITY

Each party (Receiving Party) shall keep confidential and shall not disclose or use any Confidential Information of the other party (Disclosing Party) except as required to perform obligations under this Agreement. Confidential Information means non-public business, technical, or financial information disclosed in any form and marked or reasonably understood to be confidential.

The obligations under this section do not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully in the Receiving Party's possession prior to receipt from the Disclosing Party; (c) is independently developed by the Receiving Party without reference to Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt written notice to the Disclosing Party to permit a protective order or other remedy.

Upon termination or expiration of this Agreement, Receiving Party shall promptly return or destroy, at Disclosing Party's option, all tangible Confidential Information and certify in writing that it has complied with this obligation.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute will be in the state or federal courts located in that state.

NOTICES

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate by written notice.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

Amendment: No modification or amendment of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Independent Contractors: The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
