This Business Document Utopia Document (the Agreement) is entered into as of by and between the parties identified below.

Recitals

WHEREAS, Party A is engaged in the business of providing certain professional services, including but not limited to the services described in the Scope of Work; and

WHEREAS, Party B desires to retain Party A to perform such services under the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows.

Scope of Work

Party A shall perform the services and deliver the deliverables described below. The Scope of Work shall include specifications, milestones, acceptance criteria and any deliverable schedules. Any change to scope shall be addressed only pursuant to the Amendment procedure set forth in this Agreement.

Payment Terms

Party B shall pay Party A for services rendered in accordance with the schedule and amounts below. All sums are payable in lawful currency.

Unless otherwise agreed in writing, invoices not disputed in good faith within ten (10) days of receipt shall be deemed accepted. All undisputed amounts not paid within thirty (30) days of invoice date shall be subject to the Late Payment Fee specified above and interest to the maximum extent permitted by law.

Term and Termination

This Agreement shall commence on the Start Date and shall continue until the End Date, unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after written notice of the breach.

Confidentiality

Each party (Receiving Party) shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (Disclosing Party) in connection with this Agreement ("Confidential Information"). Confidential Information shall include business plans, technical information, pricing, trade secrets, and information marked or identified as confidential, but shall not include information which is (a) publicly known through no improper act of the Receiving Party, (b) rightfully received by the Receiving Party from a third party without breach of an obligation of confidentiality, or (c) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall not disclose Confidential Information to any third party except to its employees and professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement. The obligations of confidentiality shall survive termination of this Agreement for years.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

Miscellaneous

Entire Agreement: This Agreement, including all exhibits and mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings and communications, whether written or oral.

Amendment: No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except to a successor by way of merger or sale of substantially all assets, provided that such successor assumes the assigning party's obligations hereunder.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing.
