BUSINESS DOCUMENT VANILLA BEAN

This Business Services Agreement (the Agreement) is entered into effective as of by and between:

WHEREAS, Service Provider has represented that it possesses the necessary qualifications, experience and resources to perform such services and is willing to provide the same to Client pursuant to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Service Provider shall perform the services described above in a professional and workmanlike manner in accordance with industry standards. Any material change to the Scope of Work shall require a written amendment signed by both parties.

Payment Terms

Compensation: Client shall pay Service Provider the total amount of for the services outlined in this Agreement, subject to the schedule below.

Invoices shall be submitted by Service Provider to Client at the address for notices below and are payable within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at the rate of on the unpaid balance, or the maximum rate permitted by applicable law, whichever is less.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the proposed termination date. Either party may terminate immediately for material breach by the other party that remains uncured for a period of thirty (30) days following written notice of such breach.

Confidentiality

Definition: "Confidential Information" means information disclosed by either party to the other in connection with this Agreement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including trade secrets, business plans, financial information, customer lists and technical data.

Non-Disclosure: Each party shall hold Confidential Information of the other in strict confidence and shall not disclose it to any third party except as required to perform under this Agreement or as required by law. Each party shall use at least the same degree of care to protect the other party's Confidential Information as it uses to protect its own, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that: (a) is or becomes publicly available other than through breach of this Agreement; (b) was known to the recipient prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by the recipient.

Duration: The obligations of confidentiality shall continue for a period of three (3) years following the termination or expiration of this Agreement, except with respect to trade secrets, which shall be protected for so long as they remain trade secrets under applicable law.

Representations; Warranties; Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional manner consistent with industry standards. Service Provider shall indemnify and hold harmless Client from and against any third-party claims arising from Service Provider's gross negligence or willful misconduct in the performance of services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. Venue for any dispute arising under this Agreement shall be in the state and federal courts located in that jurisdiction.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No modification or amendment shall be effective unless in writing and signed by both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or similar transaction.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon personal delivery, confirmed delivery by overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
