Recitals

WHEREAS, VDMCC provides certain professional business services, including but not limited to advisory, management, and implementation assistance, and is willing to provide such services to Client under the terms set forth herein;

WHEREAS, Client desires to engage VDMCC to perform the services described in this Agreement and to compensate VDMCC under the Payment Terms below; and

WHEREAS, the parties intend that this Agreement set forth the entire understanding between them with respect to the subject matter hereof.

Scope of Work

Client shall pay VDMCC for Services in accordance with the following payment provisions:

Invoices are due as specified in the Payment Schedule. Client shall pay all undisputed invoices within the period set forth above. Any undisputed amount not paid when due shall accrue interest at the Late Payment Fee rate specified.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above after written notice. Termination by either party does not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential. Each receiving party shall (a) use Confidential Information solely for performance under this Agreement, (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care, and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those contained herein. Confidential Information does not include information that is or becomes generally available to the public without breach of this Agreement or that was rightfully known to the receiving party prior to disclosure.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of its obligations under this Agreement. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, each party's aggregate liability under this Agreement shall be limited to the total fees paid by Client to VDMCC under this Agreement in the twelve (12) months preceding the event giving rise to liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in that State for any dispute arising from this Agreement.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that VDMCC may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets or business. Notices required under this Agreement shall be given to the addresses set forth above unless a party gives written notice of a different address.
