This Business Document Veco (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Provider to perform certain professional services as described herein, and Provider represents that it has the skill, experience and capacity to perform such services in a professional manner; and

WHEREAS, the parties desire to define their respective rights and obligations with respect to the provision of services and payment therefor under the terms and conditions set forth in this Agreement.

Scope of Work

Provider will perform the services described below (the "Services"). The Services shall be completed in accordance with the milestones and specifications set forth in this Section unless otherwise agreed in writing.

Payment Terms

Client shall pay Provider for the Services as set forth below. Unless otherwise agreed in writing, all payments are due in United States dollars and exclusive of taxes for which the paying party is responsible.

Provider shall submit itemized invoices to Client in accordance with the Payment Schedule. Client shall pay undisputed amounts within thirty (30) days of receipt of an invoice. Disputed amounts shall be resolved in good faith and any undisputed portion shall be paid pending resolution.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party that remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve either party of obligations incurred prior to termination.

Confidentiality

Each party (the "Recipient") shall hold in confidence and not disclose to any third party any non-public information disclosed by the other party (the "Discloser") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that is or becomes public without breach, was already known to Recipient without restriction, or is independently developed by Recipient.

Recipient shall use Confidential Information solely for the performance of its obligations under this Agreement, shall limit access to Personnel who have a need to know, and shall return or destroy Confidential Information upon termination or upon Discloser's request. Remedies at law for breach are often inadequate; Discloser shall be entitled to seek equitable relief in addition to any other remedies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations, understandings and agreements, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

Notices under this Agreement shall be given in writing to the addresses set forth below and shall be deemed given on the date of delivery if personally delivered or one (1) business day after sending if sent by overnight courier.
